Terms of Service and Membership Agreement

1. Parties and Acceptance

These Terms of Service and Membership Agreement ("Terms") are entered into between you ("Client", "you") and Krimson Kraft Lifestyle Ltd, registered in England & Wales, company number 15013142, registered office 167-169 Great Portland Street, 5th Floor, London, W1W 5PF, trading as Aide & Assist ("Aide & Assist", "we", "us"). By creating an account, subscribing to a membership tier, or submitting a brief, you agree to be bound by these Terms.

2. Membership Tiers and Fees

Aide & Assist offers the following membership tiers, billed monthly in advance in pounds sterling (GBP):

  • Access — £150 per month, including up to 10 briefs per calendar month.
  • Premium — £400 per month, with an expanded brief allowance and priority handling.
  • Elite — £1,000 per month, with the highest brief allowance, dedicated concierge continuity and priority access to suppliers.
  • Pay-as-you-go — £50 per single brief, for clients without an active subscription, payable in advance of concierge work commencing.

Brief allowances reset at the start of each billing cycle and do not roll over unless expressly agreed in writing. Fees are subject to change on no less than 30 days' notice, which will not affect a billing cycle already in progress.

3. Our Role as Agent

Aide & Assist acts as your agent in identifying, negotiating with, and arranging services from third-party suppliers (including but not limited to travel providers, venues, event organisers, household staff, retailers and service professionals) ("Suppliers"). Save where we expressly agree in writing to act as principal for a specific service, the contract for the underlying service is formed directly between you and the relevant Supplier, and that Supplier — not Aide & Assist — is responsible for the performance, quality, safety and delivery of the service.

We exercise reasonable care and skill in selecting and instructing Suppliers on your behalf, but we do not guarantee the acts or omissions of any Supplier.

4. Supplier Terms and Deposits

Many Suppliers require deposits, pre-payment, or acceptance of their own terms and conditions (including cancellation and no-show policies) before work can begin. Where a Supplier requires a deposit, you authorise us to arrange payment on your behalf, and such deposits are held and applied in accordance with that Supplier's own terms. Supplier deposits are, save as required by law, non-refundable once paid to the Supplier, and any refund is subject to that Supplier's policies.

5. Client Obligations

  • Provide accurate, complete and timely information necessary to fulfil a brief, including household member details, preferences, dietary requirements and travel documents where relevant.
  • Ensure payment details on file remain valid and settle all fees when due.
  • Comply with any Supplier terms applicable to a booking made on your behalf.
  • Notify us promptly of any change of circumstances materially affecting a brief.

6. Acceptable Use

You agree not to use the service to:

  • Request or facilitate any unlawful, fraudulent, or dangerous activity;
  • Harass, abuse or threaten our staff, concierges or Suppliers;
  • Misuse the platform, including attempting to circumvent security or access other clients' data; or
  • Submit briefs for purposes that breach applicable law, including sanctions, export control or anti-money-laundering legislation.

We may suspend or terminate access for any breach of this section.

7. Liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law, including your statutory rights under the Consumer Rights Act 2015.

Subject to the foregoing, we shall not be liable for the acts, omissions, insolvency, or standard of service of any Supplier, as Suppliers act as independent contractors and not as our employees or agents in the delivery of the underlying service. Our aggregate liability to you for losses arising from our own acts or omissions in performing our agency role shall not exceed the greater of £500 or the fees paid by you to us in the 12 months preceding the claim, except where such limitation would be unlawful.

We are not liable for indirect or consequential losses, save where such exclusion is not permitted by law.

8. Termination

You may cancel your membership at any time, effective at the end of the current billing period, in accordance with our Refunds and Cancellation Policy. We may suspend or terminate your account immediately for breach of these Terms, non-payment, or conduct that we reasonably consider harmful to our staff, Suppliers or other clients. On termination, outstanding fees remain payable and any in-progress briefs will be wound down or handed over as reasonably practicable.

9. General

These Terms constitute the entire agreement between you and us in relation to your membership, save for any Supplier terms applicable to specific bookings. If any provision is found unenforceable, the remainder shall continue in full force. We may update these Terms from time to time; material changes will be notified to active members.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction over any dispute arising from them, without prejudice to any mandatory consumer protections available to you in your country of residence.
